Supply of Fuels logistics, Boilers and Turbines.

This qualification system can be used for supply of fuel logistics, boilers and turbines for biomass power plants in relation to both green-field and existing plants. The qualification system is divided into 3 categories. Suppliers can apply for submission in one or more category and will be qualified individually in the categories.

The 3 categories are:

— Fuel Logistics Plant (including — but not limited to): Conveyers systems, feed-in-hoppers, storage systems etc.;

— Boiler Plant (including — but not limited to): Boiler in-feed system, boiler, building steel, building facades, water steam cycle, flue gas treatment, ID-fan, stack, flue gas condensing, etc.;

— Turbine Plant (including — but not limited to): Turbine, generator, condenser, turbine water steam cycle etc.

A guideline (Guideline Supplier Qualification System) for the applications is available through Scanmarket.

Applicants are requested to fill out the eESPD document using the XML file made available by DONG Energy Thermal Power A/S through Scanmarket.

It is not a requirement that the Applicant fills out part III A and B of the eESPD since the exclusion grounds in part III A and B is ‘pre-entered’ without any possibility to edit. The Contracting Entity will not take the pre-entered fields in part III A and B into consideration, since part III A and B is not used. Accordingly, the Contracting Entity will not ask for documentation for information in this part.

If the Applicant is applying for qualification for more categories using the same eESPD, the Contracting entity encourage the Applicant to insert separate reference lists for each of the categories in the eESPD part V in accordance with the guidelines and requirements described in this notice section III.1.9) part C.2.

All contact and inquiries regarding this qualification system must be made in writing through DONG Energy Thermal Power A/S's eSourcing system Scanmarket. The following information must be submitted in the e-sourcing system Scanmarket as a part of the eESPD:

A) Information regarding the contracting entity

The Applicant shall submit the following information regarding:

A.1 Company name, Adress, mail, name and web-page;

A.2 Contact person, mail and phone-number;

A.3 Registration (CVR no. or equivalet and VAT no. or equivalent).

The information should be provided in the eESPD part II, section A.

B.1.

Description of ownership and corporate structure. The Applicant shall submit a description of ownership and corporate structure. If the Applicant is a subsidiary, the Applicant shall submit the name of the highest possible group parent — being an entity directly or indirectly controlling more than 50 % of the Applicant. The information should be provided in the eESPD part IV, section B where it says ‘Other economic or financial requirements’. If, for technical reasons, the Applicant finds that it is impossible to insert a full description of ownership and corporate structure in the eESPD, the Applicant can consider to upload a separate file in Scanmarket with the description and refer to such file in the eESPD part V.

B.2

The Applicant shall submit information enabling DONG Energy Thermal Power A/S to assess the Applicant's economic and financial capacity.

The Applicant should provide the figures below based on the latest 2 annual reports. The Applicant shall submit the information in the eESPD part V stating which financial year the information relates to (e.g. financial year 2015 if this is the latest annual report).

The Applicant should provide the following figures based on the latest 2 annual reports:

— Turnover (revenue);

— net result before tax;

— current assets;

— total assets (Sum of all assets);

— total shareholder's equity (Equity including minority shares);

— current liabilities;

— Intangible assets;

— Inventories;

— Trade receivables;

— Cash and cash equivalents;

— Trade payables.

Please note that DONG Energy Thermal Power A/S might have minimum requirements to the Applicants' economic and financial capacity which will be used in specific tenders. Accordingly, the suppliers are encouraged to consider whether they should apply for qualification with economic and financial support from other entities in order to improve their chances of being prequalified. Further, DONG Energy Thermal Power A/s expects to use objective criteria regarding economic and financial capacity in order to select among the prequalified suppliers in the category if the number of suppliers should exceeds the desired quantity.

C) Technical Capacity Information.

C.1

The Applicant are encouraged to describe the Applicant's quality management, health and safety management and environmental management systems in the eESPD part V. If the Applicant is certified according to either ISO 9001.2008, OHSAS 18.001 or ISO 14.001 or equivalent, information about having all three certificates will be considered a full description of the three management systems. For non-certified systems the Applicant are encouraged to insert the full wording of the relevant management systems in the eESPD part V. The information can be send in either English or Danish. If for technical reasons the Applicant finds that it is impossible to insert a full description of one or several uncertified management systems in the eESPD, the Applicant can consider to upload a separate file in Scanmarket with the description and refer to such file in the eESPD part V.

C.2

For each category the Applicant applies for, a reference list of relevant works shall be provided. DONG Energy Thermal Power A/S encourages the Applicants to include the following information for each of the references:

— Title of the project;

— Customer and contact information;

— Period of execution;

— Contract value;

— Description of the project;

— Scope of supply and the Applicant's role in the project;

— Turn-key-extent/EPC (meaning inclusion of sub-systems);

— Reference geographic location.

Specifically for Applicants for the Fuel Logistics Plant category: The Applicants are encouraged to include information about the following aspects of the individual references:

— Capacity of the delivered fuel logistics system;

— Specification of the relevant type of fuel: eg. wood pellets, wood chips, straw, or coal;

— Years of operation since take-over (date of signed take-over certificate or equivalent).

The Applicant is encouraged to include other relevant information about the reference, as detailed described as possible. Further, the Applicant is encouraged to include a relevant number of references considering the different types of fuel and capacities of the delivered systems.

Specifically for Applicants for the Boiler Plant category: The Applicants are encouraged to include information about the following aspects of the individual references:

— Thermal capacity;

— Combustion system (wood pellets, wood chips, straw or coal);

— Steam parameters;

— Experience with applications performed in accordance with PED or equivalent;

— Years of operation since take-over (date of signed take-over certificate or equivalent).

The Applicant is encouraged to include other relevant information about the reference, as detailed described as possible. Further, the Applicant is encouraged to include a relevant number of references considering the different types of fuel and thermal capacities of the references.

Specifically for Applicants for the Turbine Plant category: The Applicants are encouraged to include information about the following aspects of the individual references:

— Electrical capacity;

— Efficiency;

— Turbine type/capabilities (back-pressure, condensing, steam extraction, etc.);

— Steam parameters;

— Years of operation since take-over (date of signed take-over certificate or equivalent).

The Applicant is encouraged to include other relevant information about the reference, as detailed described as possible.. Further, the Applicant is encouraged to include a relevant number of references considering the different types of turbines.

The Applicant should insert information about references in part V of the eESPD.

DONG Energy Thermal Power A/S expects to use the data and descriptions of the references in the eESPD as an important objective criterion when selecting suppliers for future tenders in each of the categories. Thus, it is of significant importance that the Applicants fill in the reference descriptions as detailed as possible. Please note that DONG Energy Thermal Power A/S might use minimum criteria for a specific tender where the information above might be relevant for example (but not exhaustive) regarding fuel type, which underlines the importance of detailed descriptions of the references.

C.3

The following minimum requirements regarding technical capability apply for qualification in the individual categories:

Fuel Logistic Plant:

It is a minimum requirement that the Applicant provides 1 reference regarding delivery and installation of a conveying and storage system for solid biomass fuels and/or bituminous coal for combustion in boilers with a minimum thermal capacity of 50 MW.

Boiler Plant:

It is a minimum requirement that the Applicant provides 1 reference regarding delivery and installation of boiler plants with thermal capacities from minimum 50 MW and based on solid biomass fuel or bituminous coal.

Turbine Plant:

It is a minimum requirement that the Applicant provides 1 reference regarding delivery and installation of steam turbines electrical output of minimum 10MWe

If the Applicant fulfil the minimum requirement, the Applicant shall tick yes in section IV of the eESPD.

D) Support from another entity.

D.1.

If the Applicant wishes to improve its economic and financial or technical assessment by relying on another legal entity, this should be stated in the eESPD part II, C. Further, the supporting legal entity will have to fill in a separate eESPD. The advantages of relying on another legal entity are, that the assessment of the economic and financial or technical capacity of the Applicant will be based on the information about both entities.

DONG Energy Thermal Power A/S have as schedule 1 published a letter of support template (see link on Scanmarket), which the Applicants are encouraged to use. The eESPDs should be used as preliminary evidence of support from another legal entity. However, final documentation will be requested later. In order to ensure that the Applicant can provide correct final documentation DONG Energy Thermal Power A/S encourages the Applicants to use the support template.

If the Applicant is part of a profit sharing agreement with another legal entity i.e. Germany's Ergebnisabführungsvertrag or equivalent legal arrangement or if the parent company of the Applicant has made a statement according to the Dutch Civil Code article 2:403 (a ‘403 statement’) or equivalent legal arrangement, Applicant should declare in the eESPD part II C that it relies on another entity with reference to profit sharing agreement. Further the supporting entity shall fill out a separate eESPD.

If a consortium applies for admission in qualification system, the information above must be submitted for each member of the consortium. Each member of the consortium should fill in separate eESPDs.

If a joint venture applies for admission in qualification system, the information above must be submitted for the joint venture as such. All legal entities involved should submit separate eESPDs.

Qualification and prequalification will take place in several stages. First stage is the qualification in the qualification system. When prequalifying applicants for a specific tender DONG Energy Thermal Power A/S will use objective criteria.

This qualification system is none exclusive, and DONG Energy Thermal Power A/S is not obliged to use the qualification system and can use alternative qualification systems or contract notices.

With the qualification system, DONG Energy Thermal Power A/S wish to establish a pool of qualified suppliers, who can be invited to specific tenders. If an application is rejected because it does not comply with the requirements or minimum requirements it can update the application and re-submit. Further, qualified applicants can update their applications if they wish to update their information. DONG Energy Thermal Power A/S plan to submit the first tender(s) very soon after publication of this notice. See Guideline Supplier Qualification System.
